Partner Terms & Conditions
These Terms & Conditions apply to all Supered services, systems, templates, and deployments delivered by AmplifyOps to approved partners. This includes but is not limited to the Supered Accelerator, action plans, bases, templates, updates, and training materials.
1. Definitions
AmplifyOps (“The Agency”): The provider of Supered-based systems, templates, and services.
Partner: The HubSpot agency, consultant, or service provider entering into this agreement to receive and use Supered-based solutions.
Supered Assets: All bases, templates, updates, dashboards, workflows, pop-ups, and instructional content delivered by AmplifyOps through the Supered platform.
One-Time Installation: A completed, fixed-scope system delivery. No future updates, customizations, or support are included unless explicitly stated.
2. Usage & Licensing
All Supered assets provided are licensed for internal use and client-facing delivery only. Partners may not:
Resell, rebrand, sublicense, or redistribute assets to other agencies or partners
Duplicate installations across non-client accounts
Mirror assets in Supered without written consent
If you want to brand these assets with your name, resell it as your own, or license it downstream — talk to us.
3. One-Time Install Terms
The Supered Accelerator and similar packages are one-and-done installs. Once delivered, they’re yours to use, but:
No updates, maintenance, or changes are included
If Supered or HubSpot updates break something, we’re not responsible unless there’s a separate support plan in place
Any customization, troubleshooting, or new builds post-installation require a new SOW or hourly agreement
These are plug-and-play systems. If you want us to keep it fresh, maintenance plans are available.
4. Ownership & IP Rights
You own: any custom workflows, business rules, or training content we create specifically and solely for your business or your clients.
We own: everything else. That includes frameworks, templates, training bases, process logic, and tools reused across clients.
5. Post-Install Responsibility
Once your install is complete:
You’re responsible for reviewing the setup, assigning action plans, confirming the assets match your internal workflows, and ensuring it’s used properly.
We’re not responsible for misuse, underuse, or failed adoption unless you’ve got an active support contract.
6. Termination & Refund Policy
Digital installs are non-refundable. Once we’ve started work or delivered assets, the sale is final.
There is no rollback, transition, or ownership transfer unless defined in a separate SOW or white-label agreement.
For custom projects under an SOW, termination terms are defined within the SOW itself.
7. Support Limitations
Unless you have an active support agreement, support does not include:
Portal migrations
Onboarding new clients or users
Large projects or re-scoped builds
Re-deployment of Supered or HubSpot assets
Re-training your team
Support is available on a retainer or hourly basis upon request.
8. Platform & Legal Compliance
- You agree to use Supered and AmplifyOps systems in accordance with the terms of Supered, HubSpot, and any other applicable platforms or services we support.
- You’re also expected to follow any relevant data protection, privacy, or compliance laws governing your client relationships.
9. Additional Terms
These Terms are subject to change with notice. If you have a custom partnership agreement or white-label deal in place, those terms may override the general conditions listed here.
